  1. Extension of due date for filing of Cost Audit Report and Compliance Report in eXtensible Business Reporting Language (XBRL) mode

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has in continuation to its General Circular Nos. 8/2012 dated 10th May, 2012 (as amended on 29th June, 2012) and 18/2012 dated 26th July, 2012, issued General Circular No. 43/2012 dated 26th December, 2012 extending the due date for filing Cost Audit Report and Compliance Report for the year 2011-2012 (including overdue reports relating to any previous years) in XBRL mode by Cost Auditors and Companies upto 31st January, 2013 or within 180 days from the close of the Company’s financial year to which the report relates whichever is later.

  2. Notification of Companies Directors Identification Number (Third Amendment) Rules, 2012 regarding eForm # DIN 1

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide G.S.R.(E) dated 24th December, 2012 notified the Companies Directors Identification Number (Third Amendment) Rules, 2012 incorporating the following changes in the eForm # DIN 1:

    • Replacing the Verification with an affidavit by the applicant, a notarised copy of which needs to be furnished on a non judicial stamp paper of Rs. 10/-
    • Addition of a new fields regarding the current occupation and educational qualification.
    • Addition of the following points in the Certification Part of the eForm # DIN 1:
      • I hereby verify that I have satisfied myself about the identity of the applicant based on the perusal of the original of the attached documents.
      • I also verify having attested the photograph of the said person
        – who is personally known to me; or
        – who met me in person along with the original of the attached documents.
      • It is further certified that all required attachments have been completely attached to this application

    The new version of eForm # DIN 1 incorporating the above referred changes has come into effect from 25th December, 2012.

  3. Notification of Companies Directors Identification Number (Third Amendment) Rules, 2012 regarding eForm # DIN 4

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide G.S.R.(E) dated 24th December, 2012 notified the Companies Directors Identification Number (Third Amendment) Rules, 2012 incorporating the following additional points the Certification part of the eForm # DIN 4:

    • I hereby verify that I have satisfied myself about the identity of the director/ designated partner based on the perusal of the original of the attached documents.
    • I also verify having attested the photograph of the said person
      – who is personally known to me; or
      – who met me in person along with the original of the attached documents.
    • It is further certified that all required attachments have been completely attached to this application

    The new version of eForm # DIN 4 incorporating the above referred changes has come into effect from 25th December, 2012.

  4. Notification of Companies (Central Government’s) General Rules and Forms (Seventh Amendment) Rules, 2012 regarding eForm # 18

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide G.S.R.(E) dated 24th December, 2012 notified the Companies (Central Government’s) General Rules and Forms (Seventh Amendment) Rules, 2012 incorporating the following changes in the eForm # 18:

    • Addition of a new field regarding the ownership of the proposed Registered Office
    • Mandatory submission of Proof of Registered Office Address as an attachment to the Form

    The new version of eForm # 18 incorporating the above referred changes has come into effect from 25th December, 2012.

  5. Recognition of MCX Stock Exchange Limited as a Recognised Stock Exchange

    The Ministry of Corporate Affairs (hereinafter referred as “MCA”) has vide S.O(E) dated 21st December, 2012, notified that it has recognised MCX Stock Exchange as a Recognised Stock Exchange.

  6. Delegation of Powers u/s 388 B, 388C, 388E to RBI (Banking Regulation Act)

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide S.O(E) dated 21st December, 2012, notified that the Central Government delegated its powers under Sections 388B, 388C and 388E of the Companies Act, 1956 in relation to Banking Companies falling within the purview of the Banking Regulation Act, 1949 to the Reserve Bank of India.

    Note: This notification shall come into effect from the date of its publication in the Official Gazette.

  7. Filing of Form 68 for rectification of mistakes in Form 1, Form 1A and Form 44.

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide General Circular No. 42/2012dated 21st December, 2012 given the opportunity for Companies incorporated prior to the year 2009 to rectify the mistakes in Forms 1, 1A and 44 by filing Form 68 accompanied by a fees of Rs. 1,000 Rs. 1,000 and Rs. 10,000 respectively within period of 180 days from 23.12.2012 (effective date).

  8. Notification of new Form 23C – Application to the Central Government for appointment of Cost Auditor and the corresponding amendment to the Companies (Central Government’s) General Rules and Forms, 1956.

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has vide notification No. G.S.R. 906(E) dated 19th December, 2012 notified the Companies (Central Government’s) General Rules and Forms (Seventh Amendment) Rules, 2012 incorporating the necessary changes in the Companies (Central Government’s) General Rules and Forms, 1956 as amended from time to time, with regard to the new Form 23C – Application to the Central Government for appointment of Cost Auditor.

    Further, it has been notified that the above referred rules shall come into force with effect from 23rd December, 2012.

  9. Clarification of due date for filing of Balance Sheet and Statement of Profit and Loss in eXtensible Business Reporting Language mode for the accounting year commencing on or after 01.04.2011.

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has in continuation of General Circular No. 39/2012 dated 12th December, 2012 come out with General Circular No. 41/2012 dated 18th December, 2012 has clarified that the due date for filing financial statements in XBRL mode without any penalty is upto 15th January, 2013 or within 30 days from the due date of AGM of the company, whichever is later.

  10. Filing of Balance Sheet and Statement of Profit and Loss in eXtensible Business Reporting Language mode for the accounting year commencing on or after 01.04.2011

    The Ministry of Corporate Affairs (hereinafter referred to as “MCA”) has in continuation of General Circular Nos. 16/2012 dated 06.07.2012 and 34/2012 dated 25th January, 2012 come out with General Circular No. 39/2012 dated 12th December, 2012 extending the due date for filing financial statements in XBRL mode upto 15.01.2013 or within 30 days from the date of AGM of the company, whichever is later.
